1. Acceptance of Terms

By accessing or using Klexo ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Service Description

Klexo is an operating platform for professional-services firms that brings sales, discovery, delivery, billing, payments, payroll, and accounting into a single system. Capabilities include a CRM and estimates, AI-assisted discovery and proposals, project and work management, invoicing and payment acceptance, people and payroll, a double-entry general ledger, and a co-branded client portal. Klexo includes AI features that produce editable drafts a person reviews before they reach a client or your books.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Not share account credentials with unauthorized individuals

4. Payment Terms

Klexo operates on a per-seat subscription model. By subscribing, you agree to:

• Pay the applicable subscription fees on a monthly or annual basis
• Pay for additional AI credits consumed beyond your included allocation
• Provide valid payment information and authorize recurring charges

All fees are non-refundable except as required by law or as stated in our refund policy. Prices may change with 30 days notice.

5. Intellectual Property

You retain all ownership rights to your source code, project data, and content uploaded to the Platform. Klexo does not claim ownership of your intellectual property.

Code generated by Klexo's AI agents on your behalf is owned by you. The Klexo platform, including its AI models, interface, documentation, and branding, remains the intellectual property of KodeNerds LLC.

6. Acceptable Use

You agree not to:

• Use the Platform to generate malicious code or conduct cyberattacks
• Attempt to circumvent usage limits or security controls
• Reverse-engineer, decompile, or extract Klexo's AI models
• Use the Platform in violation of applicable laws or regulations
• Resell or sublicense access to the Platform without authorization

7. Limitation of Liability

AI-generated code is provided "as is." While we implement quality gates and security scanning, you are responsible for reviewing and testing all code before deploying to production.

To the maximum extent permitted by law, Klexo's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. Klexo is not liable for indirect, incidental, consequential, or punitive damages.

8. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Platform will be revoked
• You may export your data within 30 days
• Outstanding fees remain payable
• Provisions that by nature should survive (IP, limitation of liability) will survive termination

9. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance.

10. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware, except where mandatory consumer protection laws of your jurisdiction apply.
